Service Agreement (standard for all clients)

CONFIDENTIALITY

Confidential information (the “Confidential Information”) pertains to any data or information related to thebusiness of the Client which would reasonably be considered proprietary. This includes, but is not limited to,accounting records, business processes, and client records, and is not generally known in the industry. TheContractor, BT World Tech, agrees not to disclose, reveal, report, or use any Confidential Informationobtained during the term of this Agreement, except as authorized by the Client or as required by law. Theseconfidentiality obligations will apply during the Term and will continue indefinitely upon termination of thisAgreement. All information disclosed by the Client to BT World Tech, whether written or oral, is consideredConfidential Information.

OWNERSHIP OF INTELLECTUAL PROPERTY

All intellectual property and related material developed under this Agreement will be the sole property of BTWorld Tech. This includes trade secrets, moral rights, and any rights in patents, copyrights, trademarks, andtrade names. BT World Tech may use the Intellectual Property for any purpose agreed upon in thisAgreement without restriction. The Contractor will not use the Intellectual Property for any purpose otherthan that contracted for in this Agreement without the written consent of BT World Tech. The Contractor willbe responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.

RETURN OF PROPERTY

Upon the expiry or termination of this Agreement, BT World Tech will retain ownership of any property, documentation, records, or Confidential Information provided to BT World Tech during the course of thisAgreement.

CAPACITY/INDEPENDENT CONTRACTOR

In providing the services under this Agreement, BT World Tech is acting as an independent contractor andnot as an employee of the Client. This Agreement does not create a partnership or joint venture between BTWorld Tech and the Client.

RIGHT OF SUBSTITUTION

BT World Tech may, at its absolute discretion, engage a third-party subcontractor to perform some or all ofthe obligations under this Agreement. However, BT World Tech remains responsible for the performance ofany subcontractor engaged and any obligations under this Agreement.

AUTONOMY

BT World Tech has full control over working time, methods, and decision-making related to the provision ofservices under this Agreement. While working autonomously, BT World Tech will be responsive to thereasonable needs and concerns of the Client.

EQUIPMENT

BT World Tech will provide, at its own expense, any tools, machinery, equipment, raw materials, supplies, workwear, or other items necessary to deliver the services in accordance with this Agreement.

NO EXCLUSIVITY

This Agreement is non-exclusive, allowing BT World Tech to engage with other clients for similar servicesduring and after the Term.

NOTICE

All notices required under this Agreement will be given in writing to the addresses provided by the Parties.

INDEMNIFICATION

BT World Tech agrees to indemnify and hold harmless the Client against any claims, losses, damages, liabilities, and expenses arising out of this Agreement, except to the extent covered by insurance orprohibited by law.

MODIFICATION OF AGREEMENT

Any modifications to this Agreement must be made in writing and signed by both Parties.

TIME OF THE ESSENCE

Time is of the essence in this Agreement, and no extension or variation will waive this provision.

ASSIGNMENT

BT World Tech may not assign or transfer its obligations under this Agreement without the prior writtenconsent of the Client.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreementsand understandings.

ENUREMENT

This Agreement will be binding on the Parties and their respective successors and assigns.

GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of England.

SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue tobe valid and enforceable.

WAIVER

Waiver of any provision of this Agreement will not constitute a waiver of any subsequent breach of the sameor other provisions.
